Terms and Conditions

These Terms and the Order may only be varied by express written agreement between the Company and the client.

The Agreement

The client's Order serves as an offer to purchase the Services under the terms outlined here. The client's responsible for ensuring that the Order and any relevant specifications are accurate and complete.

The acceptance of the Order and the formation of the contract will occur when the Company issues a written acceptance of the Order or when the Company begins providing the Services upon receiving the Order, whichever happens first.

The contract encompasses the entire agreement between the Company, who will provide the Services, and the client, who will purchase those Services under these terms. The client acknowledges that they have not relied on any statements, promises, or representations made by the Company unless they are explicitly stated in the contract. Samples, drawings, descriptions, and advertising materials provided by the Company are intended to give an approximate idea of the Services and do not form part of the contract or any other agreements between the Company and the client.

A Quotation provided by the Company for the Services does not constitute an offer. The Quotation remains valid for 14 Business Days from the date of issue.

Regarding White Label Work, the client understands and agrees that the Company has no contractual relationship or liability towards the ultimate client with whom the client agrees to perform the White Label Work.

Company's Responsibilities and Guarantees

The Company guarantees that it will provide the Services as specified in the Order, using reasonable care and skill to meet the Specification requirements. Furthermore, the Company reserves the right to make necessary changes to the Services to comply with applicable laws.

The Company may engage the services of a Group Company or subcontractors to provide the Services, with the understanding that the Company remains liable to the client for the performance of the Services as if they had carried them out themselves.

Client's Obligations and Indemnities

The client must provide the necessary assistance and technical information to the Company promptly to facilitate the execution of an Order according to the estimated delivery dates or milestones. The client is solely responsible for the accuracy of the information provided to the Company and warrants that the employees involved in executing an Order possess the required skills and authority.

The client must promptly review and approve materials provided under the Services, such as advertising copy, search terms, and graphic materials, within the agreed deadline. Additionally, the client must implement changes on websites, IT systems, or, as required by the Company, within the agreed deadline. The client must also immediately notify the Company of any changes in domain names, websites, technical setup, or other information related to the technical infrastructure that may affect the Services provided by the Company.

Failure by the client to fulfill the obligations and provide the required materials within the agreed deadline (and at least within 15 Business Days of the date requested by the Company) allows the Company to invoice for the Services already supplied and the remaining Services specified in the Order, regardless of the Company's ability to deliver them.

The client agrees to indemnify the Company and hold it harmless from any liabilities, costs, and expenses arising from third-party claims or proceedings due to the provision of the Services following the Order, Specification, or the content of the client's advertising or web pages. This includes claims related to infringement of Intellectual Property Rights or other proprietary rights, breach of confidentiality or contract, or defamation.

By default, the client is responsible for implementing optimization changes recommended by the Company. In certain cases, the client must grant the Company access to the site's FTP or content management system's username and password to amend existing optimizations. The client must notify the Company in advance of any alterations to the client's website(s) that may impact the services provided by the Company. The client acknowledges that such alterations made by the client or a third party may affect search engine placements, and the Company cannot be held responsible.

The Company advises that adding regular and fresh content to the site improves search engine rankings. The client understands that regular and unique content plays a vital role in a website's success, and the absence of such content diminishes the impact of SEO services.

About all White Label Work, the client agrees to indemnify the Company against all liabilities, costs, expenses, damages, and losses incurred by the Company arising from the contract between the client and their client for the White Label Work. This includes direct, indirect, or consequential losses, loss of profit, loss of reputation, and all associated interest, penalties, legal and professional costs, and expenses.

Liability

Except as expressly stated in Clause 9, the Company shall have no liability to the client for any loss or damage arising from or in connection with the provision of the Services or for any claim made against the client by any third party.

Without prejudice to the generality of Clause 9.1 above, the Company shall have no liability for any losses or damages which the client may suffer whether the same are suffered directly or indirectly or are immediate or consequential which fall into the following categories:

Quality Assurance Policy

In order to provide you the desired satisfaction, our designers don't deviate from the specifications provided by you in the order form.
The designs are created after a thorough research which ensures the design quality and uniqueness.

Other Limitations of Liability

The Company shall not be liable for any changes made without notice by the client or a third party employed by the client to domain names, websites, links, technical setup, etc., and affecting the Services delivered by the Company. Preceding or subsequent work connected with any adjustments required as a result of such changes shall be charged to the client following these Terms or based on the Company's price list, applicable from time to time at the Company's discretion.
